Performer Service Agreement

1. Contracting parties and contact details

This agreement is between ABOD NEST S.R.L., a Romanian limited liability company, unique registration code (CUI) 49367655, Trade Register number J2024000017268, registered office at Abud nr. 30, Sat Abud, Comuna Ghindari, Judetul Mures, postal code 547266, Romania ("BeatRequest", "Platform", "we", "us"), and the DJ, musician, singer, band, venue operator, or other professional accepting it in the BeatRequest application ("Performer", "you").

BeatRequest operates the performer application and the guest payment and request service available through https://go.beatrequest.app. The current support channel is available at https://go.beatrequest.app/support. This agreement governs professional use of BeatRequest, direct tips and guest requests submitted through your QR, and settlement of your earnings through Stripe Connect.

2. Eligibility and account responsibility

You confirm that you are at least 18 years old, have legal capacity to enter this agreement, and use BeatRequest for a trade, business, craft, or professional activity rather than as a consumer. If you act for a company, venue, band, or other organisation, you confirm that you are authorised to bind it.

You must provide accurate account, identity, tax, event, and payout information, keep it current, protect your login credentials, and promptly notify us of suspected unauthorised access. You remain responsible for activity performed through your account unless caused by BeatRequest's breach of its security obligations.

3. BeatRequest service and performer control

BeatRequest lets guests send direct tips, paid or free song requests, and paid or free dedications during your events. Guests reach the relevant event through its QR code or direct event link. You may enable or disable each service independently. Free song requests and dedications can operate without payment setup; direct tips and every other paid option require an active Stripe Connect account.

Direct tips are recorded separately from the actionable request queue. Song requests and dedications may be organised by status, submission time, promised performance window, and remaining time; you retain artistic control and decide whether to accept, decline, perform, and mark a request fulfilled.

BeatRequest does not guarantee any minimum number or value of tips or requests, uninterrupted availability, or that a guest request is suitable for your event. You are responsible for setting truthful service availability, minimum amounts, and waiting-time estimates and for updating them when event conditions change.

4. Direct tips, request authorisation, and capture

When a guest confirms a standalone direct tip, the payment is captured immediately. A direct tip is voluntary support and does not require your acceptance or create any promise of a song, dedication, acknowledgement, or other performance. The guest checkout states this before payment.

When a guest submits a paid song request or dedication, the payment provider may authorise the amount on the guest's payment method. The payment is captured only when you accept the request. If you decline before capture, BeatRequest cancels the payment intent or releases the authorisation, subject to the guest's bank processing time. Only successfully captured payments create performer earnings.

Where a free song request or dedication includes an optional tip, that tip is authorised with the request and captured only if you accept the same request. Decline or expiry releases the authorisation. Marking a request fulfilled records operational completion but does not create a second charge. You must not ask a guest to pay outside BeatRequest for a request already submitted through the Platform in order to avoid Platform fees.

5. Platform fee, processor costs, and performer earnings

For each successfully captured guest payment, including a direct tip or accepted paid request, BeatRequest retains a Platform fee equal to 30% of the gross captured amount and allocates 70% to your connected Stripe account as the performer share. The transaction-level fee percentage and monetary amounts recorded at capture are the authoritative fee snapshot for that transaction.

Under the current destination-charge model, BeatRequest pays the ordinary Stripe processing and platform fees from its own Platform share. Those fees do not reduce the recorded 70% performer share. A different treatment applies only if it is clearly displayed to you before capture, accepted in a later agreement version where required, and recorded in the relevant transaction snapshot.

Balances remain denominated in the transaction or payout currency shown by Stripe and BeatRequest. If currency conversion is required, it is performed at the rate and with any fee applied by Stripe, the connected account, or the receiving bank at the time of conversion. BeatRequest does not guarantee an exchange rate.

6. Stripe Connect account and automatic payouts

You must complete Stripe Connect onboarding and maintain a connected account eligible for charges and payouts before enabling direct tips or paid requests. Stripe may request identity, business, tax, and bank information and may restrict or delay charges, transfers, or payouts under its own terms and legal obligations. Stripe, rather than BeatRequest, stores the bank-account credentials submitted during Connect onboarding.

BeatRequest creates eligible guest payments as destination charges. After capture, Stripe allocates the 70% performer share to your connected Stripe balance and the 30% application fee to the Platform balance. The time at which the performer share becomes available and reaches your bank account is determined by Stripe's payout schedule, supported countries and currencies, reserves, bank processing, and any restrictions on your connected account.

You are responsible for keeping your Stripe Connect identity, tax, and bank information correct. If Connect becomes restricted, disconnected, or ineligible for charges or payouts, BeatRequest may close paid guest options until you restore eligibility. Free song requests and dedications may remain available where the application offers them.

7. Retirement of new manual bank payout setup

BeatRequest does not offer a new platform-managed manual IBAN payout route for transactions governed by this version. A performer who wants to accept money through BeatRequest must use Stripe Connect. BeatRequest does not require you to transfer the performer share from the Platform's bank account after each transaction because Stripe routes it through the connected-account flow described above.

Manual bank payout profiles and balances validly created under an earlier agreement remain governed by the agreement version accepted when they arose. BeatRequest may retain, review, reconcile, and settle those historical obligations through its restricted legacy settlement process. This historical exception does not allow a new manual profile or new paid activity to use the retired route.

8. Refunds, chargebacks, reversals, and reserves

BeatRequest manages guest refunds, card disputes, chargebacks, reversals, fraud reviews, and payment-provider adjustments for destination charges. Stripe may debit the Platform balance for processor fees, refunds, and disputes and may reverse the related transfer from the connected account where the payment rules permit it.

If an adjustment concerns an amount allocated or already paid to you, the corresponding performer share may be reversed from your connected Stripe balance or deducted from current or future BeatRequest earnings. If this creates a negative balance, Stripe or future earnings may be applied until it is cleared. BeatRequest will provide the transaction reason and available supporting information on request.

BeatRequest or Stripe may temporarily hold the reasonably estimated amount needed for an active dispute, suspected fraud, sanctions or identity review, duplicate payment, legal obligation, or material breach. Unless a longer period is required by law, Stripe, a card network, or an unresolved dispute, a discretionary BeatRequest reserve will not be held for more than 120 days. Undisputed excess funds will be released when the risk ends.

9. Taxes, invoices, and legal compliance

The performer share is gross of taxes, social contributions, and similar obligations applicable to you. You are responsible for your registrations, declarations, invoices, receipts, and tax payments. BeatRequest or Stripe may withhold or restrict a payout until documents legally required for payment or reporting are provided and may report payments where required by law.

You are solely responsible for performing music lawfully and obtaining all venue, public-performance, collecting-society, copyright, neighbouring-right, and other licences required for your event. BeatRequest does not provide music licences and does not supply the audio recording requested by a guest.

You must not use BeatRequest for illegal goods or services, money laundering, fraud, sanctions evasion, harassment, discriminatory conduct, infringement, or any activity prohibited by Stripe, card networks, or applicable law.

10. Content and intellectual property

You retain ownership of names, logos, posters, images, messages, and other content you upload. You grant BeatRequest a worldwide, non-exclusive, royalty-free licence for the duration of your account to host, process, resize, display, and transmit that content solely to operate and promote your BeatRequest events and venue screens. You confirm that you have the rights and permissions needed for uploaded content and guest-facing displays.

BeatRequest and its software, branding, visual system, and documentation remain owned by BeatRequest or its licensors. This agreement gives you a limited, revocable, non-transferable right to use them for the Platform service; it does not transfer intellectual property ownership.

11. Data access and privacy

During your account term, you can access the performer and event information made available in the application, including direct tips, request status, captured amounts, fee snapshots, performer ledger entries, and payout status. You do not receive guests' complete card or payment credentials. BeatRequest and Stripe retain access to data required for payment processing, fraud prevention, security, accounting, disputes, and legal compliance.

Personal data is processed as described in the BeatRequest Privacy Policy at https://go.beatrequest.app/privacy. Stripe Connect identity and bank details are processed by Stripe. BeatRequest records connected-account identifiers and eligibility states required to route and monitor payments. Historical encrypted bank records from a retired manual route may be retained only for legacy settlement, accounting, disputes, and legal compliance.

Agreement acceptance is recorded with timestamp, version, document hash, and relevant technical evidence. After termination, BeatRequest may retain accounting, payment, dispute, fraud-prevention, agreement, and security records for the periods required by law or reasonably necessary to establish, exercise, or defend legal claims.

12. Restrictions, suspension, and termination

BeatRequest may restrict specific features, suspend an account, close paid options, or remove content where reasonably necessary because of illegal activity, fraud risk, Stripe or sanctions requirements, inaccurate identity or payout information, security risk, repeated guest complaints, non-payment, intellectual-property infringement, or a material or repeated breach of this agreement. Except where prohibited by law or where immediate action is necessary to prevent harm, we will provide the reasons on a durable medium and an opportunity to clarify or remedy the issue.

You may stop using BeatRequest and request account closure at any time. BeatRequest may terminate this business relationship with at least 30 days' notice on a durable medium and a statement of reasons. The notice period does not apply where a legal or regulatory obligation requires immediate termination, an imperative legal reason exists, or repeated material breaches can be demonstrated.

Termination does not erase accrued rights, payment adjustments, or obligations that by their nature survive. Undisputed earnings are reconciled through Stripe Connect or, only for valid historical obligations, the retired legacy process in Section 7. Sections concerning fees already incurred, refunds, taxes, intellectual property, records, liability, and disputes survive termination where relevant.

13. Changes to this agreement

BeatRequest may propose a new agreement version. Material changes will be provided on a durable medium at least 15 days before they take effect, and a longer period will be used where reasonably needed for technical or commercial adaptation. The notice period may be shorter where BeatRequest must address a legal obligation or an urgent and unforeseen fraud, malware, data-breach, cybersecurity, or similar risk.

Changes do not apply retroactively to already captured transactions. Where renewed acceptance is required, the application records the new version and document hash before the affected service continues. If you reject a proposed version, you may terminate before it takes effect, subject to final reconciliation.

14. Service availability and liability

BeatRequest uses reasonable care to provide the service but does not guarantee uninterrupted operation, a particular tip or request volume, guest conduct, or compatibility with every device, venue network, currency, country, Stripe feature, or third-party service. Planned or urgent maintenance and failures outside BeatRequest's reasonable control may affect availability.

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, loss of opportunity, or reputational loss that was not reasonably foreseeable. BeatRequest's aggregate contractual liability arising from this agreement is limited to the Platform fees retained from your transactions during the 12 months preceding the event giving rise to the claim. Nothing in this agreement excludes or limits liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory data-protection obligations.

15. Governing law, complaints, and disputes

This agreement is governed by Romanian law. Before filing a claim, the parties will attempt in good faith for 30 days to resolve the matter through the support channel at https://go.beatrequest.app/support. This does not prevent either party from seeking urgent interim relief or using a mandatory statutory procedure.

Disputes not resolved amicably are submitted to the competent Romanian courts determined under applicable procedural law, with jurisdiction at BeatRequest's registered office where a valid business-to-business jurisdiction agreement is permitted. Mandatory rights and jurisdiction rules remain unaffected.

16. Entire agreement and acceptance evidence

This agreement, the transaction fee snapshot, the Privacy Policy, and mandatory Stripe terms form the agreement for the services described here. If a transaction-specific fee snapshot conflicts with a general fee statement, the transaction snapshot controls for that transaction. If any provision is unenforceable, the remaining provisions continue to apply and the invalid provision is replaced only to the minimum extent required by law.

By actively selecting the acceptance checkbox and starting Stripe Connect setup in the BeatRequest application, you confirm that you had access to this version, understood it, and agree to be bound by it. BeatRequest records the acceptance timestamp, version, and SHA-256 document hash so the accepted text can be identified later.
